Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zimpl Executive Visibility Platform, our website at zimpl.app, and any related services provided by Zimpl Technologies ("Zimpl", "we", "us", or "our"). By creating an account, accessing the platform, or using any part of our services, you agree to be bound by these Terms. If you are accessing Zimpl on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.

Please read these Terms carefully. They contain important information about your rights and obligations, including limitations on our liability and how disputes are resolved. If you do not agree to these Terms, please do not use Zimpl.

1. Who We Are

Zimpl is an Executive Visibility Platform designed for business groups operating across the GCC. We provide multi-company operational intelligence covering structure, financial tracking, compliance monitoring, workforce management, and performance reporting through a single integrated platform.

2. Definitions

Throughout these Terms, the following words have specific meanings:

  • "Account" means the account created by or for you to access and use the platform
  • "Account Owner" means the individual or entity that subscribes to Zimpl and is primarily responsible for the account and all activity under it
  • "User" means any individual granted access to an account by the Account Owner, including managers, accountants, PROs, and other staff
  • "Business Group" means the collection of legal entities, companies, and branches managed through a single Zimpl account
  • "Customer Data" means all data, content, and information submitted to or generated within the platform by or on behalf of the Account Owner or any User
  • "Platform" means the Zimpl software application, including all modules, dashboards, reports, and associated features, delivered as a service
  • "Services" means the platform and any related services, support, or documentation we provide
  • "Subscription" means the access plan you have purchased, including the associated scope, features, and billing terms

3. Eligibility and Account Registration

3.1 Eligibility

To use Zimpl, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are registering on behalf of a company or organisation, you represent and warrant that you have the authority to do so and to bind that entity to these Terms.

3.2 Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the accuracy of your account information and for updating it promptly if it changes.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

  • Use a strong, unique password and not share it with anyone outside your authorised team
  • Notify us immediately at hello@zimpl.app if you suspect any unauthorised access to your account
  • Ensure that all Users you add to your account are aware of and comply with these Terms
  • Not share your account login with individuals who have not been formally added as Users under your subscription

We are not liable for any loss or damage arising from your failure to maintain account security.

3.4 One Account Per Business Group

Each business group should operate under a single Zimpl account. Creating multiple accounts to circumvent plan limits or access restrictions is a breach of these Terms.


4. The Platform and Services

4.1 Licence to Use

Subject to your compliance with these Terms and payment of applicable fees, Zimpl grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform during your subscription period, solely for your internal business purposes.

4.2 Scope of Services

The specific features, modules, and capabilities available to you depend on your subscription plan. Zimpl reserves the right to modify, add, or remove features from the platform at any time, provided that we will not materially reduce core functionality during an active paid subscription period without reasonable notice.

4.3 No Offline Access

Zimpl is provided as a cloud-based, software-as-a-service platform. No software is licensed for download or local installation. Access to the platform requires an internet connection.

4.4 Beta Features

From time to time, we may make beta, preview, or experimental features available. These are provided on an "as is" basis without any warranties, and we may modify or discontinue them at any time without notice.


5. Subscription Plans and Billing

5.1 Subscription Fees

Access to the Zimpl platform requires a paid subscription. Current pricing is available at zimpl.app/pricing. All fees are stated exclusive of applicable taxes unless otherwise noted. You are responsible for any taxes applicable to your purchase in your jurisdiction.

5.2 Billing and Payment

Subscriptions are billed in advance on the cycle corresponding to your chosen plan (monthly or annual). By providing payment details, you authorise Zimpl (or our payment processor) to charge those details at the start of each billing period. Payments are non-refundable except as expressly stated in these Terms or where required by applicable law.

5.3 Failed Payments

If a payment fails, we will notify you and attempt to collect payment again. If payment remains outstanding after a reasonable period, we may suspend access to your account until payment is made. Prolonged non-payment may result in account termination in accordance with Section 17.

5.4 Plan Changes

You may upgrade your plan at any time, with the change taking effect immediately and any additional fees prorated. Downgrades take effect at the start of the next billing period. Downgrading to a plan with lower limits may affect access to certain features or data.

5.5 Annual Plans

If you purchase an annual subscription, you commit to the full annual period and the full annual fee. Early cancellation of an annual plan does not entitle you to a refund of the remaining period, except where required by applicable law.

5.6 Price Changes

We reserve the right to change our pricing at any time. We will give you at least 30 days' notice before any price increase affects your subscription. Continued use of the platform after a price change takes effect constitutes your acceptance of the new pricing.


6. Free Trials and Promotional Access

We may offer free trials or promotional access to the platform from time to time. Unless otherwise stated:

  • Free trials are available once per business group and may not be claimed using multiple accounts or email addresses to extend trial access
  • At the end of a free trial, access will automatically convert to a paid subscription or terminate, depending on the terms of the specific trial offer
  • We reserve the right to modify or discontinue free trial offers at any time without notice
  • Data entered during a trial period is subject to the same terms as paid subscriptions and will be retained for a reasonable period after trial expiry to allow for conversion

7. Your Data and Content

7.1 Ownership of Customer Data

You retain full ownership of all Customer Data you submit to the platform. Nothing in these Terms transfers any ownership of your data to Zimpl.

7.2 Licence to Process

By submitting data to the platform, you grant Zimpl a limited, non-exclusive licence to process, store, and use that data solely to provide the Services to you, as described in these Terms and our Privacy Policy. We do not use Customer Data for any other purpose, including training AI models, commercial benchmarking, or sharing with third parties for their independent use.

7.3 Accuracy of Data

You are solely responsible for the accuracy, quality, and legality of all Customer Data you submit. Zimpl is a visibility and tracking tool — the outputs it generates (including Confidence Scores, alerts, and reports) are only as reliable as the data entered. We are not responsible for decisions made on the basis of inaccurate or incomplete data.

7.4 Data Export

You may export your Customer Data at any time during your active subscription using the export tools available within the platform. We will also assist with data export requests submitted to hello@zimpl.app within a reasonable timeframe.

7.5 Data Entered About Third Parties

Where you enter personal data about individuals — such as employee names, visa details, or passport information — into the platform, you are responsible for ensuring you have the appropriate legal basis to do so and that you comply with all applicable data protection and employment laws. Zimpl processes such data as a data processor acting on your instructions.


8. Data Protection and Privacy

Our collection and use of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Zimpl, you confirm that you have read and understood our Privacy Policy.

To the extent that Zimpl processes personal data on your behalf as a data processor, we will do so in accordance with applicable data protection law, including the obligations set out in our Privacy Policy and any applicable data processing agreement. If your business is subject to specific data protection requirements and you require a formal Data Processing Agreement, please contact us at hello@zimpl.app.


9. Acceptable Use

9.1 Permitted Use

You may use Zimpl only for lawful business purposes, in accordance with these Terms and all applicable laws and regulations in your jurisdiction and the jurisdictions in which you operate.

9.2 Prohibited Conduct

You must not use the platform to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload, transmit, or store any data that is unlawful, fraudulent, defamatory, obscene, or that infringes any intellectual property rights
  • Attempt to gain unauthorised access to any part of the platform, other accounts, or Zimpl's underlying systems or infrastructure
  • Interfere with or disrupt the integrity or performance of the platform or the data of other users
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform
  • Use the platform to develop a competing product or service, or to benchmark the platform against a competing product without our prior written consent
  • Resell, sublicence, or otherwise make the platform available to any third party without our prior written consent
  • Use automated tools, bots, or scripts to access or scrape the platform in ways not authorised by us
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity

9.3 Consequences of Misuse

We reserve the right to investigate any suspected breach of this section and to suspend or terminate access to your account if we determine, acting reasonably, that a violation has occurred. We may also report violations to appropriate authorities where required by law.


10. Intellectual Property

10.1 Zimpl's Intellectual Property

Zimpl and its licensors own all intellectual property rights in the platform, including the software, design, architecture, algorithms, visual elements, documentation, and all related materials. These Terms do not transfer any such rights to you. The limited licence granted in Section 4.1 is the full extent of your rights in relation to the platform.

10.2 Your Intellectual Property

You retain all intellectual property rights in your Customer Data and in any reports, outputs, or documents you create using the platform. The licence you grant us in Section 7.2 is limited strictly to enabling us to provide the Services.

10.3 Feedback

If you provide us with feedback, suggestions, or ideas about the platform ("Feedback"), you grant Zimpl a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you. We are not obliged to implement any Feedback you provide.

10.4 Trademarks

The Zimpl name, logo, and associated marks are trademarks of Zimpl Technologies. You may not use these marks without our prior written consent, except to accurately refer to Zimpl as the provider of services you use.


11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").

  • Zimpl will treat all Customer Data as your Confidential Information and will not disclose it to third parties except as permitted by these Terms and our Privacy Policy
  • You will treat any non-public information about Zimpl's technology, pricing, roadmap, or business as our Confidential Information
  • Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law or valid legal process

12. Service Availability and Support

12.1 Availability

We aim to make the platform available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access. Scheduled maintenance, unplanned outages, and factors outside our control may occasionally affect availability. We will endeavour to schedule planned maintenance during off-peak hours and to provide advance notice where practical.

12.2 Support

Support is provided by email at hello@zimpl.app and through the in-platform Help Center. Response times and the scope of support available may vary depending on your subscription plan.

12.3 No Uptime Guarantee

Unless expressly stated in a separate written agreement, Zimpl does not provide any guaranteed service level or uptime commitment. Service disruptions do not entitle you to refunds or credits unless separately agreed in writing.


13. Third-Party Services and Integrations

The platform may offer integrations with or links to third-party services and tools. These are provided for your convenience. Zimpl does not endorse, control, or take responsibility for any third-party services, their availability, their content, or their privacy and security practices.

Your use of any third-party service integrated with Zimpl is subject to that service's own terms and conditions. Any issues arising from a third-party integration should be directed to that third party.


14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Zimpl provides the platform and all Services on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the platform will be uninterrupted, error-free, or free from viruses or other harmful components
  • Any warranty that information or outputs produced by the platform — including Confidence Scores, alerts, and reports — are accurate, complete, or suitable for any particular business decision

Important: Zimpl is a business visibility and tracking tool. It surfaces operational information based on data you enter. It does not provide legal, financial, tax, accounting, employment, or regulatory advice. You should not rely on platform outputs as a substitute for professional advice in any of these areas.


15. Limitation of Liability

15.1 Exclusion of Indirect Losses

To the fullest extent permitted by applicable law, Zimpl and its officers, directors, employees, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business
  • Loss of data or inability to access data
  • Loss of goodwill or business reputation
  • Cost of substitute services
  • Any business decision made in reliance on platform outputs

This exclusion applies regardless of whether Zimpl has been advised of the possibility of such damages and regardless of the theory of liability.

15.2 Cap on Liability

To the fullest extent permitted by applicable law, Zimpl's total aggregate liability to you for any claims arising out of or relating to these Terms or the Services — regardless of the form of action — shall not exceed the total fees paid by you to Zimpl in the twelve months immediately preceding the event giving rise to the claim, or USD 500, whichever is greater.

15.3 Exceptions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.


16. Indemnification

You agree to indemnify, defend, and hold harmless Zimpl and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the platform in violation of these Terms
  • Any Customer Data you submit to the platform, including any claim that such data infringes a third party's rights or violates applicable law
  • Your violation of any applicable law or regulation
  • Any breach by you of your obligations to third parties — including employees — whose data you have entered into the platform

17. Term and Termination

17.1 Term

These Terms commence when you create an account or first access the platform and continue for as long as you maintain an active subscription or account, unless terminated earlier in accordance with this section.

17.2 Termination by You

You may cancel your subscription at any time by contacting us at hello@zimpl.app or through the account management settings. Cancellation takes effect at the end of your current billing period. You will retain access to the platform until the end of that period.

17.3 Termination by Zimpl

We may suspend or terminate your account and access to the Services:

  • Immediately, if you breach any material provision of these Terms and the breach is not capable of remedy, or is not remedied within 14 days of written notice from us
  • Immediately, if you engage in conduct that in our reasonable opinion poses a risk to the platform, other users, or Zimpl
  • Upon 30 days' notice, if we decide to discontinue the platform or any part of it
  • Upon reasonable notice, if fees remain unpaid after repeated attempts to collect payment

18. Effects of Termination

Upon termination or expiry of your subscription for any reason:

  • Your licence to access and use the platform ceases immediately
  • You must cease all use of the platform and any associated materials
  • We will retain your Customer Data for a reasonable period (typically 30 days) to allow you to request an export, after which it will be securely deleted
  • Any outstanding fees for the current billing period remain payable
  • Provisions of these Terms that by their nature should survive termination — including Sections 7, 10, 11, 14, 15, 16, and 20 — will continue to apply

If your account is terminated by Zimpl for breach, we reserve the right to deny future registration to you or any entity associated with you.


19. Changes to These Terms

We may update these Terms from time to time to reflect changes in the law, our business, or the platform. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify active account holders by email at least 30 days before significant changes take effect
  • Where required by applicable law, seek your acceptance of the revised Terms before they apply to you

If you continue to use the platform after updated Terms take effect, you are agreeing to be bound by the revised Terms. If you do not agree to the changes, you must stop using the platform and cancel your subscription before the changes take effect.


20. Governing Law and Disputes

20.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

20.2 Informal Resolution

Before initiating any formal dispute process, both parties agree to attempt to resolve any dispute informally by contacting the other party and giving a genuine opportunity to address the concern. Most concerns can be resolved this way. Please contact us at hello@zimpl.app in the first instance.

20.3 Disputes

If a dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by arbitration in Kochi, Kerala, India, in accordance with applicable arbitration rules, unless both parties agree otherwise in writing. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.


21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Zimpl with respect to the Services and supersede all prior agreements, representations, and understandings.

21.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

21.3 Waiver

No failure or delay by Zimpl in exercising any right under these Terms will constitute a waiver of that right. A waiver of any particular breach does not constitute a waiver of any subsequent breach.

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Zimpl may assign these Terms or any of its rights or obligations under them, including in connection with a merger, acquisition, or sale of assets, without your consent, provided we notify you of any such assignment.

21.5 Force Majeure

Neither party will be liable for any failure or delay in performance to the extent that such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, power failures, or internet outages, provided that the affected party notifies the other as soon as reasonably practicable.

21.6 Notices

Any notices under these Terms must be in writing. Notices from you to Zimpl should be sent to hello@zimpl.app. Notices from Zimpl to you will be sent to the email address associated with your account. Notices sent by email are deemed received on the next business day following the day of transmission.
